Globoforce, Inc. d/b/a Workhuman and Globoforce Limited trading as Workhuman (collectively "Workhuman" or "W") maintain the Workhuman Connect Community Site (the "Community") as a web site for users invited by Workhuman ("Users") to discuss topics pertaining to human resources. By accessing the Community, you agree to comply with and be bound by the following terms and conditions (the "Terms"), which we may change at any time by posting notice on the Community. PLEASE READ THESE TERMS CAREFULLY AND PLEASE CHECK THESE TERMS PERIODICALLY FOR CHANGES. If you do not agree to these Terms, please do not use the Community.
Any reference to "you" or "your" shall include you, as a user of the Community. Accessing the Community, navigating through its pages or resources, or reading or using the documents and information posted on the Community are collectively referred to as a "Use".
I. PURPOSE
The Community is a peer-to-peer and support channel for invited users and organizations with a desire to discover, learn, share, and network with other human resources practitioners for all topics pertaining to human resources. In addition, the Community offers discussions and educational pieces on Workhuman products and services, as well as thought leadership on events in the human resources industry and best practices. Although focused on our prospects, customers, partners, and employees, we may invite others with an interest in the human resources industry to join the Community and our discussions. While the Community is meant to be a forum for collaboration and learning about employee recognition, we have strict conduct rules regarding the Content contributed or posted within the Community.
II. CONDUCT
In order to access the Community, you must receive an invitation from Workhuman. In addition, you must have your own username and password. You may not share your username or password with anyone, even with other employees of your company or any other user.
You are responsible for all Content, as defined below, created and for all activity that occurs under your username. Please ensure that your password is strong and kept private. By posting Content within the Community, you agree to allow all other Community users the right to access any Content you post. "Content" includes postings, messages, articles, text, files, images, graphics, photos, audio clips, sounds, videos or other materials.
To join and participate in the Community, we ask you to observe the following principles:
- Be respectful. Respect people's time and attention by asking well-thought-out questions and sharing your subject matter expertise. Respect people as individuals by keeping your tone positive and your comments constructive. As a community of human resources practitioners, members will have varying levels of experience, and the only unfortunate question is the one never asked. Please remember this is an inclusive community; at Workhuman™ we strive to be inclusive of all cultures, nationalities, backgrounds and respectful opinions. We do not tolerate racism, bigotry, sexism, bullying, disrespectfulness or any other offensive actions or words.
- Be relevant. Make sure your contributions are relevant to the community mission and the topic area you are posting to. Refrain from duplicate posting in different areas of the community to avoid fragmenting discussion. If posing a new question, create a new thread rather than interrupting a conversation. Use the Community to share successes, challenges, constructive feedback, questions and goals. If you've found a product or service helpful, please share your experience with the Community in a respectful way.
- Be mindful of your message and audience. Concise topic titles and messages help other members to respond more appropriately to your post and make it easier for members to search for relevant content. For content you've found valuable, use the "like" feature, or send a private message such as "thanks for the information" to the author.
- Be ethical. Don't post anything that would violate applicable laws or contractual agreements to which you or your company are a party. These include restrictions on disclosing intellectual property, company confidential information, and personal information. Content posted in the community will be visible to other users. Attribute content to its creator and seek permission from the owner of any content if you would like to reuse it.
- Be safe. Don't post personal information, your own or anyone else's (including contact information, or content that you receive in one-to-one communications without the author's consent.
- Be aware. Community content is created by its members and is not endorsed by nor does it represent the opinions of Workhuman. You'll find plenty of good advice here, but situations, configurations, challenges or implementations may vary from member to member and company to company. Some advice you find here may even be incorrect or incomplete. Apply the same good judgment here that you would apply to information discovered elsewhere online.
Consistent with these principles, you may not post or send:
- Content that is abusive, vulgar, obscene, hateful, threatening, defamatory, bigoted, racially or sexually offensive. Please remember that you are providing Content for a multi-cultural and global audience, so be courteous to consider, and refrain from posting, things that may be considered abusive, obscene, or offensive to someone else even if you do not find your Content offensive.
- Content that is fraudulent or intentionally misleading.
- Content that includes confidential information about your company, or another company.
- Content that discloses the terms of your company's engagement with Workhuman including but not limited to pricing, fees and/or any other commercial terms agreed to by the parties.
- Content that includes personal information about anyone other than you. As the Community is a professional collaboration forum, refrain from disclosing or discussing your private or personal matters. Your or another person's personal information include but are not limited to phone numbers, addresses, personal email addresses, social security numbers, medical information, and banking information.
- Content that promotes illegal or unethical activity or discusses illegal activities with the intent to commit them.
- Political or religious statements or commentary.
- "Rants"; "slams"; or legal threats against Workhuman, any other company, or any individual.
- Off-topic comments not related to human resources or Workhuman services outside of specified Content areas.
- Any material that you do not have the right to post (such as confidential information of your employer or a third party, regardless of whether or not you are subject to non-disclosure obligations). By posting certain imagery or other Content, you represent and warrant that you obtained consent from each person from whom consent is required and that you own or have all necessary rights to the published Content.
- Advertising (including advertising links or company insignia in signatures), promotional materials, or any other forms of solicitation including chain letters, pyramid schemes, class action suits, or charitable appeals.
- Any file or link to a file that contains viruses, corrupted files, spyware, malware, "Trojan Horses", or any other contaminating or destructive features that may damage or infect someone's computer or software and services provided by Workhuman.
- Duplicate posts, spam messages, or posts repeated excessively on one or more boards.
- Messages designed to evade profanity, obscenity, or other filters.
- Hyperlinks that lead to sites that violate any of the rules or restrictions listed herein.
- Any post that impersonates another person or affiliation with a company, including, but not limited to, Workhuman.
In addition, you may not:
- Intentionally violate any applicable laws or regulations with your Use of the Community.
- Interfere with the Community, forum operations, or a fellow user's message box, such as through the use of mail or "post" bombing, news bombing, other flooding techniques, deliberate attempts to overload a system, broadcast attacks, or attempts to avoid messaging blocking.
- Evade bans or suspensions or otherwise disregard the directions of Community moderators or administrators.
- Modify, reproduce, republish, or distribute any material from the Community in any form in a manner that would violate the intellectual property rights of another individual, entity, User or that of Workhuman.
Community moderators have full discretion, but not the obligation to, without notice, remove any post or thread, delete words that violate the Terms, or ban or suspend your account. also expressly maintains a right, at all times, to terminate or suspend an account, or delete a post or thread, without any reason at all and with or without notice.
USERS ARE FULLY RESPONSIBLE FOR ANY CONTENT POSTED UNDER HIS OR HER USERNAME, AND THE CONTENTS OF SUCH POSTS DO NOT REPRESENT THE VIEWS OR OPINIONS OF WORKHUMAN. WORKHUMAN DOES NOT GUARANTEE THAT ANY CONTENT IS CORRECT OR ACCURATE.
Workhuman also reserves the right to access, read, preserve, and disclose any information as we reasonably believe is necessary to: (i) satisfy any applicable law, regulation, legal process or governmental request, (ii) enforce the Terms, including the ability to investigate potential violations of the Terms, (iii) detect, prevent, or otherwise address fraud, security and technical issues, (iv) respond to support requests, as necessary under the circumstances, and (v) protect the rights, property and safety of Workhuman and its affiliates, and its users, partners, and the public.
If you notice any violation of these Terms, please contact Workhuman at community@workhuman.com or by using the "Report Inappropriate Content" feature in the "Options" menu of the post.
III. PRODUCT DOCUMENTS
The Community hosts information, materials, guides and other documentation for Workhuman products ("Product Documents"), some of which are accessible only by Workhuman customers. All Product Documents, wherever located or accessed, is confidential and contains Workhuman-owned and protected intellectual property. In our sole discretion, we may provide limited access to these documents. By accessing and viewing the Product Documents, you agree that you will not, either individually or on behalf of a third-party, directly or indirectly: (1) misappropriate or infringe on Workhuman intellectual property rights; (2) reverse engineer, decompile, disassemble, disclose, or otherwise attempt to discover the source code, object code, or underlying structure, ideas, or algorithms of Workhuman products, platforms and applications; (3) modify, translate, or create derivative or competing works; (4) use or view the documents to develop, improve, or modify a product or service that competes with Workhuman; or (5) share these documents with others who have not agreed to the Terms of the Community. Further, you acknowledge that, even though Product Documents may not be labeled confidential, it is, nonetheless, confidential.
IV. COPYRIGHT INFRINGEMENT
If you believe that work belonging to you has been copied into the Community without your permission, please notify Workhuman's Legal Department through the contact information set forth below. You should not send your notification directly through the Community by way of a post or thread. Workhuman moderators have full discretion, but not the obligation, to remove any post or thread relating to a potential copyright infringement from the Community.
- In accordance with the Digital Millennium Copyright Act, your notification must:
- Be signed by a person authorized to act on behalf of the owner of the allegedly infringed right,
- Identify the copyrighted work claimed to have been infringed, or, if multiple copyrighted works, provide a representative list,
- Identify the material on the Community that is claimed to be infringing or the subject of infringing activity and that is to be removed or access to which is to be disabled, and information that allows us to locate the material,
- Provide contact information for the complaining party (email address, physical address, or telephone number),
- Include a statement that the complaining party has a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law, and
- Include a statement that the information in the notification is accurate, and under penalty of perjury, that the complaining party is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

V. USER PROFILE INFORMATION
We may refuse to grant you, and you may not use, a username or email address that: (a) is already in use by someone else, (b)impersonates another person, (c) belongs to another person (without that person's consent), (d) violates the intellectual property or other rights of any person, (e) is vulgar or offensive, or (f) Workhuman rejects in its sole discretion.
In consideration of your Use of the Community, you agree that all your profile information is accurate, true, current, and complete. Workhuman may terminate or suspend your account if any of your profile information is inaccurate, false, out of date, or incomplete.
VI. MEMBER GENERATED CONTENT
The Community's Content comes from many sources, but primarily from Community members. You understand that the Community is a forum and Workhuman is not a publisher with respect to the Content posted by Community users. Workhuman makes no claims or representations as to the accuracy, completeness, or truthfulness of any information or document posted on the Community. Workhuman, accordingly, is not liable for any of the Community's Content, including any Content posted by a User that may later be claimed by another person or entity as intellectual property infringement.
Workhuman is not liable for any links posted in the Community; therefore, users open links at their own risk.
Workhuman is not liable for any errors or delays in the Content or transmission of posts and is not responsible for providing future updates to any errors or notifying the Community of any changes made that would make specific Content be outdated or inaccurate.
You are responsible for your decision to act or not act upon the Community's Content. Workhuman bears no responsibility for your decisions or actions.
Workhuman does not guarantee the confidentiality or privacy of any communication or information transmitted on the Community or otherwise in connection with the Community. Workhuman will not be liable for the privacy of email addresses, registration, and identification information, or your confidential or trade-secret information that you post within the Community.
Any opinions, advice, statements, services, offers, or other information posted by you or another Community user, other than posts or threads by Workhuman or any of its affiliates, is not endorsed or guaranteed by Workhuman as to the accuracy or truthfulness of such Content.
By submitting Content to the Community, you grant Workhuman a royalty-free, perpetual, irrevocable, nonexclusive right and license to use, copy, modify, display, archive, store, distribute, reproduce, and create derivative works from such Content, in any form, media (print, electronic or otherwise), software or technology of any kind now existing or developed in the future.
VII. REPRESENTATIONS AND WARRANTIES
By uploading or otherwise submitting any Content to the Community, you represent and warrant that: (a) you own or otherwise have all necessary rights, including but not limited to copyrights, to the Content and have the right to use it as provided in the Terms; (b) all information submitted by you is true, accurate, current and complete, and does not violate the Terms; (c) you have full right, power and authority to enter into and perform these Terms, and have secured all third party consents, licenses, waivers and permissions necessary to enter into and perform these Terms, including, without limitation, waivers of rights of privacy, publicity and personality from any third parties whose name, image, likeness, or actual or imitated voices are depicted in the Content; (d) shall not be required to make any payments with respect to the Use of any Content submitted by you, including, without limitation, any payments to you, third parties, claiming through you or otherwise, persons who contributed to or whose names, image, likeness, or actual or imitated voices appear in such Content, or your licensors; and (e) the Content submitted by you will not infringe upon or misappropriate any rights of others, including, without limitation those that: (i) violate any copyrights, trademarks, trade secrets or other intellectual property rights, rights of publicity, rights of privacy, moral rights or any other proprietary rights of third parties; (ii) violate any applicable law, statute, ordinance or regulation; (iii) are defamatory, trade libelous, trademark disparaging, fraudulent, harassing, abusive, threatening, harmful, lewd, pornographic, or obscene; (iv) disrupt, place an unreasonable burden or excessive load on, interfere with or attempt to facilitate any unauthorized access to any portion of the Community, its computer systems, services or networks; (v) transmit junk mail, chain letters, or other unsolicited bulk e-mail, spam or duplicative messages to other users of the Community; (vi) collect information about other users of the Community without their consent or otherwise systematically extract data or data fields from the Community or computer systems; (vii) attempt to gain unauthorized access to computer systems or that of any user of the Community, or engage in any activities that disrupt, diminish the quality of, interferes with the performance of, or impairs the functionality of the Community, or (viii) contain any viruses, trojan horses, time bombs or other programming routines or elements that detrimentally interfere with computer systems or data. You agree to provide with any and all evidence, in a reasonable form and format, indicating that the Content submitted by you complies with the aforementioned warranties.
VIII. INDEMNITY
You agree to indemnify and hold harmless Workhuman and its affiliates from and against any and all claims, suits, liabilities, obligations, damages, injuries, penalties, fines, losses, costs and expenses, including attorney fees, arising out of, resulting from or relating to any breach of the Terms. This obligation shall survive the termination, expiration and/or suspension of Your Community account for any reason.
IX. UNAUTHORIZED USE
If your username or password is compromised, if you become aware of any unauthorized use of your account, or you notice another breach of security, you must notify us immediately at community@workhuman.com
X. OTHER APPLICABLE TERMS
In addition to these Terms, your Use of the Community is subject to the following documents, which are incorporated herein by reference as if set out in full:

XI. DISCLAIMER OF WARRANTIES
YOU EXPRESSLY AGREE THAT YOUR USE OF THE SITE IS AT YOUR OWN RISK. MAKES NO WARRANTIES THAT THE SITE WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE. ALL CONTENT, INFORMATION, AND OTHER MATERIAL ON THE SITE IS PROVIDED AS IS AND AS AVAILABLE. WE MAKE NO ENDORSEMENTS, GUARANTEES, REPRESENTATIONS OR WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, WITH RESPECT TO THE TIMELINESS, ACCURACY, AUTHORITY, COMPLETENESS, USEFULNESS, NON-INFRINGEMENT, RELIABILITY, AVAILABILITY, OR SUBSTANCE OF ANY CONTENT, INFORMATION, OR OTHER MATERIAL ON THE SITE.
XII. LIMITATION OF LIABILITY
You agree that will not be liable for any direct, consequential, indirect, special, exemplary, or incidental damages arising out of or in connection with your Use or inability to use the Community (including, without limitation, any damages for lost profits or business interruptions), or for any claim made against you by any other party, whether arising from mistakes, omissions, interruptions, deletion of files or e-mails, errors, defects, viruses or other malicious code, delays in operation or transmission, or any failure of performance, even if Workhuman has been advised of the possibility of such damages. You also agree that under no circumstances will be liable in any way for any Content or for any loss or damage of any kind incurred as a result of the use of any Content submitted, posted, emailed or otherwise made available via the Community.
XIII. MISCELLANEOUS
By accessing the Community, you represent and warrant that you are 18 years of age or older.
The language of the Community is English.
Participation in the Community is void where prohibited.
Workhuman reserves the right to modify these Terms at any time, effective upon posting of the modified Terms. Your continued use of the Community constitutes your acceptance of the modified Terms.
Workhuman is not responsible for any posts in the Community not submitted by or by an affiliate, and postings do not necessarily represent the opinions or positions of Workhuman. Workhuman cannot and does not monitor all of the material submitted to the Community; however, you acknowledge that Workhuman has the right, but not the obligation, to review any Content submitted by your account to the Community and to reject, delete, disable, or remove any Content or user that Workhuman determines, in our sole discretion: (a) that does not comply with the Terms; (b) that might violate any law, infringe upon the rights of a third party or subject Workhuman to liability for any reason; or (c) that might adversely affect our public image, reputation or good will. Workhuman may also reject, delete, disable or remove any Content or user at any time and for any reason.
The Community (excluding links) is hosted by Gainsight, Inc. under agreement with Workhuman from servers located in the European Union. Although Workhuman has made no effort to publish the Community elsewhere, because the Community is published on the World Wide Web it is accessible in other countries and all fifty U.S. states. As each of these places has laws that may differ, and as you and Workhuman both benefit from establishing a predictable legal environment in which to operate, use or otherwise exploit the Community, by using the Community you and Workhuman agree that all matters arising from or relating to the use and operation of the Community will be governed by the substantive laws of the Republic of Ireland, without regard to its conflicts of laws principles. You agree that all claims you may have arising from or relating to the operation, use or other exploitation of the Community will be heard and resolved in the courts located in the Republic of Ireland. You consent to the personal jurisdiction of such courts over you, stipulate to the fairness and convenience of proceeding in such courts, and covenant not to assert any object to proceeding in such courts. If you choose to gain access to the Community from locations other than the Republic of Ireland, you will be responsible for compliance with all local laws of any such other location, and in no event will you use the Community or Site Content in violation of U.S. or other export laws or regulations.
IF YOU DO NOT AGREE TO COMPLY WITH ANY OF THESE TERMS OF USE, YOU ARE NOT PERMITTED TO USE THE COMMUNITY.
